Failure to meet these obligations may affect service delivery and outcomes. Masala Metrics shall not be held liable for delays or unsatisfactory results caused by the Client's non-cooperation.
All fees for services will be agreed upon in writing prior to the commencement of any engagement. The following payment terms apply unless otherwise specified in the Service Agreement:

All intellectual property created by Masala Metrics during the course of an engagement — including but not limited to methodologies, frameworks, SOPs, templates, reports, presentations, and dashboards — remains the exclusive property of Masala Metrics unless explicitly transferred in writing via a separate IP assignment agreement.
Upon full payment of all outstanding fees, you are granted a non-exclusive, non-transferable licence to use the deliverables produced specifically for your restaurant for internal operational purposes only.
You may not reproduce, distribute, sell, sublicense, or publicly disclose any proprietary materials, tools, or systems provided by Masala Metrics without prior written permission.
You retain full ownership of all data, information, and materials you provide to us during the engagement.
Both parties agree to maintain strict confidentiality with respect to any non-public, sensitive, or proprietary information shared during the engagement ("Confidential Information"). This includes but is not limited to financial data, business strategies, supplier relationships, staff information, and operational metrics.
Confidential Information will not be disclosed to any third party without prior written consent from the disclosing party, except where required by law or regulatory authority.
This confidentiality obligation survives the termination of the service engagement for a period of 2 (two) years from the date of last service delivery.
Masala Metrics may, however, reference your restaurant name and general outcomes (without disclosing specific financials) in portfolio materials or case studies, unless you explicitly request otherwise in writing.
To the fullest extent permitted by applicable law, Masala Metrics shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities arising from or in connection with our services.
Our total aggregate liability to you for any claims arising from a service engagement shall not exceed the total fees paid by you to Masala Metrics in the three (3) months preceding the event giving rise to the claim.
This limitation applies regardless of the form of action, whether in contract, tort (including negligence), or otherwise, even if Masala Metrics has been advised of the possibility of such damages.
Masala Metrics provides advisory and consulting services based on industry knowledge, operational experience, and the information provided by the Client. We do not guarantee specific financial outcomes, revenue targets, or business results.
Either party may terminate an ongoing service engagement by providing a minimum of 14 (fourteen) days written notice to the other party, unless stated otherwise in the Service Agreement.
Masala Metrics reserves the right to immediately suspend or terminate services without notice if:
Upon termination, any outstanding fees for work completed up to the date of termination shall remain due and payable. Confidentiality and intellectual property clauses shall survive termination.
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, specifically the jurisdiction of Bangalore, Karnataka.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days. If the dispute remains unresolved, it shall be referred to arbitration under the Arbitration & Conciliation Act, 1996, with a single arbitrator appointed by mutual agreement. The seat of arbitration shall be Bangalore, Karnataka.
Masala Metrics reserves the right to update, modify, or replace these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date.
It is your responsibility to review these Terms periodically. Your continued use of our website or services after any modifications constitutes acceptance of the revised Terms.
